LEGACYCHAIN SDK ENTERPRISE LICENSE AGREEMENT

Version 1.0 - Effective Date: January 2025

IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

This Enterprise License Agreement ("Agreement") is entered into between LegacyChain, Inc. 
("Licensor") and the entity or individual purchasing the license ("Licensee").

1. GRANT OF LICENSE
   Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee 
   a non-exclusive, non-transferable, limited license to use the LegacyChain SDK ("Software") 
   solely for Licensee's internal business purposes.

2. LICENSE TYPES AND RESTRICTIONS

   2.1 Enterprise License
       - Unlimited API requests
       - Unlimited capsule creation
       - Unlimited storage
       - Priority support with SLA
       - Custom feature development
       - White-label options
       - On-premise deployment options

   2.2 Restrictions
       The Licensee shall NOT:
       - Redistribute, sublicense, or resell the Software
       - Modify or create derivative works without written permission
       - Remove or alter any proprietary notices
       - Use the Software to compete with Licensor
       - Share API keys or credentials
       - Reverse engineer or decompile the Software

3. FEES AND PAYMENT
   - Enterprise licensing fees are determined on a case-by-case basis
   - Annual or multi-year contracts available
   - Payment terms: Net 30 days from invoice date
   - Late payments subject to 1.5% monthly interest

4. SUPPORT AND MAINTENANCE
   - 24/7 priority support
   - Guaranteed response times per SLA
   - Dedicated account manager
   - Custom training sessions
   - Priority bug fixes and feature requests

5. CONFIDENTIALITY
   Both parties agree to maintain the confidentiality of any proprietary information 
   exchanged under this Agreement.

6. WARRANTY AND LIABILITY
   - Software provided "AS IS" with no warranties
   - Licensor's liability limited to fees paid in the last 12 months
   - No liability for indirect, consequential, or punitive damages

7. TERM AND TERMINATION
   - Agreement effective upon payment
   - Automatic renewal unless cancelled 30 days before term end
   - Either party may terminate for material breach with 30 days notice
   - Upon termination, Licensee must cease all use and destroy copies

8. INTELLECTUAL PROPERTY
   All intellectual property rights in the Software remain with Licensor. This Agreement 
   does not grant any ownership rights to Licensee.

9. COMPLIANCE AND AUDIT
   - Licensee agrees to comply with all applicable laws
   - Licensor may audit Licensee's use upon reasonable notice
   - Licensee must maintain accurate usage records

10. GOVERNING LAW
    This Agreement shall be governed by the laws of Delaware, USA, without regard to 
    conflict of law principles.

11. ENTIRE AGREEMENT
    This Agreement constitutes the entire agreement between the parties and supersedes 
    all prior agreements and understandings.
