Last Updated: March 17, 2026 IMPORTANT: READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE. By downloading, installing, or otherwise using the Katachi Agent software ("Software") or the Katachi web platform ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, do not use the Software or Service. 1. ACCOUNT USAGE & HARDWARE BINDING Katachi employs hardware-bound credentials to secure your account. a) One Device Per Registration: Each agent installation is cryptographically tied to the physical device. You may not copy or transfer credentials between machines. b) No Account Sharing: Because accounts are bound to hardware, account sharing is technically restricted and strictly prohibited. c) Responsibility: You are responsible for maintaining the physical security of the device running the Software. Any unauthorized access resulting from your failure to secure your device is your responsibility. 2. GRANT OF LICENSE To use the Software and Service, you must be at least 18 years of age. 2789519 ALBERTA LTD, doing business as Katachi ("Licensor"), grants you ("Licensee") a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal or commercial purposes according to your subscription plan, solely in connection with the Katachi platform and in accordance with the Katachi Terms of Service available at https://katachi.live/terms. 3. RESTRICTIONS Under this license, you shall NOT: a) Modify, decompile, reverse engineer, disassemble, or create derivative works of the Software; b) Attempt to bypass the hardware-binding security mechanisms; c) Use the Software to deploy malware or engage in any malicious activity; d) Remove, alter, or obscure any copyright or proprietary notations on the Software; e) Sublicense, lease, rent, loan, sell, distribute, or otherwise transfer the Software or any rights therein to any third party; f) Use the Software to develop a competing product or service. 4. INTELLECTUAL PROPERTY The Software is protected by copyright laws and international treaty provisions. The Licensor and its licensors (if any) retain all right, title, and interest in and to the Software and Service, including all intellectual property rights therein. This License Agreement does not convey any ownership interest in or to the Software. 5. PAYMENT TERMS Paid subscriptions are billed monthly or annually. All payments are processed securely through a PCI-compliant payment processor. Refunds are available within 14 days of the initial purchase, subject to our refund policy. 6. SERVICE AVAILABILITY While we strive for high availability of our central servers: a) Local Agent: The availability of the remote agent depends on your device's power and network connection. We are not responsible for downtime caused by your hardware or network issues. b) Maintenance: We may occasionally interrupt service for security updates or maintenance. We will provide notice where feasible. 7. DISCLAIMER OF WARRANTIES THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. KATACHI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS AT YOUR OWN RISK. 8. AI-GENERATED OUTPUT The Software facilitates AI-generated code, suggestions, and automated reviews using third-party AI providers configured by you. You acknowledge and agree that: a) AI-generated output may contain errors, bugs, security vulnerabilities, or inaccuracies. b) Automated code reviews and security checks performed by the Software are provided as a convenience and are not a substitute for independent human review, testing, and validation. c) You are solely responsible for reviewing, testing, and validating all AI-generated code before deploying it to any environment, including but not limited to production systems. d) Katachi does not guarantee the accuracy, completeness, security, or fitness for purpose of any AI-generated output or automated review. e) Katachi shall not be liable for any damages, losses, or security incidents arising from your reliance on AI-generated code or automated reviews without independent verification. 9. THIRD-PARTY SERVICES The Service may integrate with or link to third-party services. We are not responsible for third-party services. Your use of services provided by third parties is governed by their terms and policies. 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KATACHI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: - Loss of data, revenue, or profits; - Business interruption; - Security breaches or unauthorized access to your systems; - Damages resulting from compromised user devices or credentials; - Third-party claims arising from your use of the service. IN NO EVENT SHALL KATACHI'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE MONTH PRECEDING THE CLAIM. YOU ACKNOWLEDGE THAT THE SECURITY OF YOUR LOCAL DEVICE IS YOUR RESPONSIBILITY. KATACHI IS NOT LIABLE FOR SECURITY INCIDENTS RESULTING FROM COMPROMISED USER HARDWARE, MALWARE ON USER DEVICES, OR UNAUTHORIZED PHYSICAL ACCESS TO YOUR EQUIPMENT. 11. DATA AND PRIVACY Our collection and use of personal information is described in our Privacy Policy available at https://katachi.live/privacy. The Privacy Policy is incorporated by reference into this agreement. 12. SUSPENSION AND TERMINATION You may stop using the Service at any time. We may suspend or terminate your access for reasons including if you violate these terms or if required by law. Upon termination, your right to use the Software and Service will end immediately. You must cease all use of the Software and destroy all copies in your possession. Sections that are intended to survive termination will survive. 13. CHANGES TO TERMS We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms. We may notify you of significant changes via email or through the Service. 14. GENERAL TERMS a) Entire Agreement: This License Agreement, together with the Katachi Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements and understandings, whether written or oral. b) Severability: If any provision is found unenforceable, the remainder will remain in effect. c) No Waiver: Our failure to enforce any provision is not a waiver. d) Assignment: You may not assign this agreement without our consent. 15. GOVERNING LAW This License Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
