PROPRIETARY SOFTWARE LICENSE AGREEMENT

This software is the property of Nexa Consulting Services ("Licensor"). All rights reserved.

1. LICENSE GRANT
Subject to the terms and conditions of this Agreement and payment of applicable license fees, Licensor grants Licensee a non-exclusive, non-transferable license to use the software.

2. RESTRICTIONS
Licensee shall not:
(a) Copy, modify, or create derivative works of the Software
(b) Reverse engineer, decompile, or disassemble the Software
(c) Remove or alter any proprietary notices in the Software
(d) Transfer, sublicense, lease, lend, rent or otherwise distribute the Software to any third party
(e) Use the Software for any purpose not expressly authorized

3. OWNERSHIP
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

4. CONFIDENTIALITY
The Software contains valuable trade secrets and confidential information of Licensor. Licensee agrees to maintain the confidentiality of the Software.

5. TERMINATION
This license will terminate automatically if Licensee fails to comply with any of the terms and conditions of this Agreement.

6. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

7. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES.
